Current report no. 19/2009 - Information on the appointment of Members of the Supervisory Board of Bank Handlowy w Warszawie S.A.
Legal basis: § 5 section 1 item 22) of the Ordinance of the Minister of Finance on current and periodic information provided by issuers of securities and conditions for recognizing as equivalent information required under the law of a non-member state dated 19 February 2009.
The Management Board of Bank Handlowy w Warszawie S.A. announces that on 18 June 2009 the Ordinary General Meeting of Shareholders of the Bank appointed the following persons as Members of the Bank’s Supervisory Board:
1) Shirish Apte
Mr. Shirish Apte is Chief Executive Officer of Citi’s Central & Eastern European Region which includes some of the fastest-growing emerging markets. In this region, Citi is engaged in serving customers across a broad client segment, including consumers, corporations and governments. Previously, Mr. Shirish Apte was CEO of Central & Eastern Europe, Middle East & Africa (CEEMEA) Citi Markets & Banking. Before that, he was Country Business Manager for Citibank Handlowy, Poland and was instrumental in Citigroup acquiring Bank Handlowy, Poland in 2000.
Mr. Shirish Apte has more than 26 years’ experience with Citi, starting as Relationship Manager with Citibank India. He held various assignments in Corporate Banking, Risk Management and Corporate Finance Investment Banking before becoming Markets & Banking head in India.
Mr. Apte moved to London in 1993 as a Senior Risk Manager for the group before becoming Corporate Finance Head for CEEMEA, including India.
He is a Chartered Accountant from the Institute of Chartered Accountants in England and has an MBA from London Business School.

2) Igor Chalupec
Mr. Igor Chalupec is Executive Partner and President of the Management Board of ICENTIS Sp. z o.o. Corporate Solutions S. K-A and ICENTIS Capital Sp. z o.o. Graduate of the Faculty of Foreign Trade at the Warsaw School of Economics (formerly called the Main School of Planning and Statistics) and the Faculty of Law and Administration at the Warsaw University. Licensed broker of securities. In the years 1991-1995 he was a founder and then manager of Centralne Biuro Maklerskie Banku Pekao SA /Central Brokerage House of Pekao SA/, currently CDM Pekao SA.
In the years 1995-2000 a Member, and then until 2003 Vice President of the Management Board of Pekao SA (UniCredit Group) responsible for corporate and investment banking, treasury and custody services as well as asset management. In the years 2003-2004 Under-Secretary of State in the Ministry of Finance responsible for, among others, European affairs, financial markets and financial information. Vice-Chairperson of the Commission for the Insurance and Bank Supervision (2003-2004). Author of the Warsaw City 2010 Agenda – the government’s capital market development strategy. From October 2004 to January 2007, President of the Management Board and CEO of Polski Koncern Naftowy ORLEN, the biggest Polish company and after the acquisition of the Lithuanian refinery Mazeikui Nafta in 2006 the biggest fuel company in Central Europe. Member of many supervisory boards, including the Warsaw Stock Exchange (1995-2003), Unipetrol, a.s. (2005-2007). Currently a member of the supervisory boards of PZU Życie SA and Budimex SA. Member of the Program Council of the Economic Forum in Krynica. Winner of many rewards and distinctions, including the Lesław A. Paga Award for setting modern standards in the Polish economy, the Hermes Award for outstanding contribution to the reconstruction of the Polish capital market and the Vector Award made by the Confederation of Polish Employers.

3) Sanjeeb Chaudhuri
Mr. Sanjeeb Chaudhuri is the Regional CEO - Consumer and Commercial Banking for Central and Eastern Europe and Chief Marketing Officer for Europe, Middle East and Africa. He is also a member of the Citi Chief Executive’s Forum, the Global Consumer Planning Group and the Citi Global Advertising Council. He was also Country Business Manager for Citibank in Hungary, UK/Ireland, CitiGold International and Managing Director Dinners Club UK. Before that he was Cards and Banking Business Manager at Citibank India. He served as Chairman of the Internet Operating Committee for EMEA and represented the Western Europe Consumer businesses on the Global Cross Marketing Operating Committee. He was also Marketing, Internet and Business Development Director for Citibank’s businesses in Europe. Mr. Sanjeeb joined Citi more than 19 years ago as Managing Director of Bankcards and Diners Club in India. He was also Chairman of the Human Resources Committee for Citigroup’s Credit Cards Council in Asia-Pacific and CEEMEA markets. Prior to joining Citi, Sanjeeb worked in Sales, Marketing and General Management positions of increasing seniority at Procter & Gamble, Colgate-Palmolive and Unilever. He is a Science Honours graduate and holds an MBA with a specialization in Marketing. He also holds an Advanced Management Program (AMP) diploma. From October 28, 2005 to September 21, 2006 he was Vice President of the Management Board of Bank Handlowy w Warszawie S.A.

4) Göran Collert
Mr. Göran Collert is Honorary Chairman, Swedbank, Sweden.
Mr. Collert joined Sparbankernas Bank in 1968. He was appointed General Manager in 1975, Executive Vice President in 1978 and President in 1984. In 1987 he was appointed Chief Executive Officer of Sparbankernas Bankkoncernen (the Swedbank Group).
During 1992, he led the reconstruction of the savings bank system of Sweden, which at that time suffered a major crisis in its banking system. Mr. Göran Collert was appointed Chief Executive Officer of Sparbanken Sverige (a merger of 11 banks). In 1995 Mr. Göran Collert was appointed Executive Chairman of the Board of Directors of Sparbanken Sverige. In 1997, Sparbanken Sverige and Föreningsbanken merged to form FöreningsSparbanken (Swedbank). In 2003 he was appointed Honorary Chairman, upon leaving the bank with pension. Mr. Göran Collert holds a degree in Law from the University of Stockholm and a degree in Economics from the University of Lund. He is a board member of Tällberg Foundation and several Swedish corporations. He was born August 8, 1937.

5) Mirosław Gryszka
Mr. Mirosław Gryszka graduated from the Gdańsk Technical University. He has been Member of the Supervisory Board of Bank Handlowy w Warszawie S.A. since 2000. Since 1990 he has held various managerial positions in Asea Brown Boveri Group and since 1997 he has been the President of ABB Sp. z o.o. and Country Manager of ABB Group in Poland.

6) Andrzej Olechowski
Mr. Andrzej Olechowski holds a Ph.D. degree in Economic Sciences. In the years 1991-1996 and 1998-2000 Mr. Andrzej Olechowski served as Chairman of the Supervisory Board of Bank Handlowy w Warszawie S.A. At present he is a member of supervisory boards or advisory committees in: Euronet, Layetana Developments Polska, MCI Management S.A., ACE, Citigroup Europe, Macquarie European Infrastructure Fund. Previously, he was the Minister of Finance and the Minister of Foreign Affairs of the Republic of Poland. He was also a candidate for the President of the Republic of Poland. He is a member of a number of non-governmental organizations. He is, among others, the European Vice-Chairman of the Trilateral Commission. Mr. Andrzej Olechowski is an author of numerous publications on international trade and foreign policy. He was Department Head at the Foreign Trade Research Institute (in the years 1978-1982) and a lecturer at the Catholic Theology Academy, Collegium Civitas and the Jagiellonian University.

7) Stephen Simcock
Mr. Stephen Simcock currently serves as General Counsel for GWM and GCG in EMEA. Prior to this position he was General Counsel of GCG International.
His previous assignment was as Ajay Banga’s General Counsel in the North American Retail Bank, which was comprised of the Consumer Asset Division, the Commercial Businesses Group, Primerica Financial Services, and the Retail Distributions Group. Prior to his role as GC of NARB, Mr. Stephen Simcock was the General Counsel to the Commercial Businesses Group, which Ellen Alemany had formed from the former Citicapital leasing business, and commercial banking and real estate operations from the retail bank.
Mr. Stephen Simcock joined Citigroup as GC of the Citimortgage, Inc. in November 2002 when we acquired Golden State Bancorp. He had been the GC and EVP of Community Affairs, Fair Lending and Compliance. Mr. Stephen Simcock started his career as an associate with the firm of Semmes, Bowen & Semmes in Baltimore, Maryland, where he worked in the corporate, financial institutions and professional services departments.
Mr. Stephen Simcock graduated from Colby College, in Waterville, Maine with a degree in French literature in 1984 and received his JD from Washington and Lee University, School of Law in 1988.

8) Wiesław Smulski
Mr. Wiesław A. Smulski graduated from the mechanical and engineering department of the Silesia Technical University in Gliwice, specializing in automation of industrial equipment.
After graduation, he worked at the Institute of Power Machines and Equipment at the Silesia Technical University in Gliwice, in the measurements and automation team. He co-authored scientific papers in the field of sequential regulation systems of great inertia, and projects applied practically in the Polish industry. He specialized in analogue reproduction of the course of dynamic industrial processes in critical moments, for the purpose of reconstructing them to determine their probable causes. Subsequently, he enhanced his education in the field of organization, management, finance, and marketing.
He has over thirty years of experience in managing large investment projects, and large companies. He participated in starting the production of linking elements for the licensed manufacture of the Fiat 126p car, the coated trapezoid plates, the Massey – Fergusson tractor, and many others. Since 1987, he has been working in the packaging industry. He has laid the foundations of cooperation between the Polish packaging industry and the American company – Can Corporation of America. Firstly, through collaboration and export of services, and later through joint venture projects. Since January 1990 he has been managing the largest Polish packaging companies. He is the author of the idea of creating a capital group, and he is the President and CEO of Can Pack Group, the fourth largest beverage packaging production group in Europe, belonging to the American holding - F&P Holding, Inc.

9) Stanisław Sołtysiński
Mr. Stanisław Sołtysiński, Professor of Law. Since 2000 Prof. Sołtysiński has been serving as Chairman of the Supervisory Board of Bank Handlowy w Warszawie S.A. At the same time he is engaged in scientific activities and projects as a law professor at the Adam Mickiewicz University in Poznań (where he also held the position of Dean of the Faculty of Law and Administration) and a recurring visiting professor at the Pennsylvania University, the College of Europe in Brugge, the Max Planck Institute in Munich and the International Law Academy in the Hague. He is a member of many associations and scientific organizations. Among others, he is a corresponding member of the Polish Academy of Arts and Sciences and a member of the Board of Directors of UNIDROIT. He is a co-author of the Commercial Companies Code. Prof. Sołtysiński is also in private law practice as a partner in the limited partnership company – “Sołtysiński, Kawecki i Szlęzak – Legal Advisors.
